About the Role
We are looking for a qualified Company Secretary to ensure statutory and regulatory compliance, manage corporate governance processes, and support the organization's legal and secretarial functions.
Key Responsibilities
- Ensure compliance with the Companies Act, 2013, SEBI regulations, and other applicable corporate laws
- Handle ROC filings, annual returns, and statutory registers
- Organize and manage Board Meetings, Committee Meetings, and General Meetings (notices, agendas, minutes)
- Draft resolutions, agreements, and other legal/corporate documents
- Liaise with regulatory authorities (ROC, SEBI, Stock Exchanges, RBI where applicable)
- Advise the board and management on corporate governance and compliance matters
- Manage share transfers, allotments, and maintenance of statutory registers
- Support due diligence, M&A, fundraising, and investor relations documentation
- Ensure timely secretarial audits and compliance certifications
- Monitor changes in corporate law and advise on impact to business operations
Requirements
- Qualified Company Secretary (CS) from ICSI
- Strong knowledge of Companies Act, SEBI (LODR) Regulations, FEMA, and corporate governance norms
- Experience handling ROC filings and secretarial compliance independently
- Excellent drafting, communication, and stakeholder management skills
- Proficiency in MS Office (Excel, Word, PowerPoint)
Good to Have
- Experience with listed companies or SEBI-regulated entities
- Exposure to fundraising, M&A, or investor relations support
- LLB or additional legal qualification
