Job Summary
The Company Secretary is responsible for ensuring statutory and regulatory compliance, maintaining corporate records, supporting the Board of Directors, and coordinating with regulatory authorities. The role also involves advising management on corporate governance matters and ensuring compliance with applicable laws and company policies.
Key Responsibilities
- Ensure compliance with the provisions of the Companies Act and other applicable laws and regulations.
- Prepare and maintain statutory registers, records, and secretarial documents.
- Organize and coordinate Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).
- Prepare meeting notices, agendas, board papers, minutes, and resolutions.
- File statutory returns, forms, and disclosures with the Registrar of Companies (ROC) and other regulatory authorities within prescribed timelines.
- Ensure compliance with Secretarial Standards and corporate governance requirements.
- Coordinate with auditors, legal advisors, bankers, and regulatory authorities on statutory matters.
- Monitor changes in corporate laws and advise management on compliance requirements.
- Draft and review legal and corporate documents, agreements, and policies as required.
- Support due diligence activities, inspections, and statutory audits.
- Maintain confidentiality of company records and sensitive information.
Qualifications
- Qualified Company Secretary (Member of the Institute of Company Secretaries of India – ICSI).
- Bachelor's degree in Commerce, Law, Business Administration, or a related field (preferred).
Experience
- 2–6 years of relevant experience in Secretarial and Corporate Compliance.
- Experience in manufacturing or corporate organizations will be an added advantage.
Skills Required
- Strong knowledge of the Companies Act, 2013, and Secretarial Standards.
- Knowledge of ROC, MCA, and statutory compliance procedures.
- Excellent drafting and documentation skills.
- Good communication and interpersonal skills.
- Strong organizational and time management abilities.
- Proficiency in Microsoft Office and compliance management systems.
- High level of integrity, confidentiality, and attention to detail.
