Responsibilities and Duties
Drafting, reviewing and redlining contracts and other transactional documents received from other parties, and aligning the same with the organization- s objectives.
b) Reviewing contracts e.g. NDA, HR Agreements, Licensing Agreements and other business support services agreements and highlighting business, commercial and legal risks involved. Negotiation with clients/vendors and closure of key commercial, legal terms and highlight acceptable changes. Draft and assist in designing standard contract templates with different versions to accommodate varying business scenarios and help to break deadlocks without compromising on the risk side.
c) Analyse the contract terms and identify areas of possible risks and opportunities related to the application of contract clauses.
d) Perform appropriate operational research in areas of commercial law as relevant to the company's business and prospects to support contract development.
e) Ensure that contractual records and documentation are properly entered into organizational databases and securely maintained.
f) Support in digitalization of legal processes including contract and litigation management.
g) Facilitate escalation of unresolved issues, approval and signature.
h) Communicate contract-related information to all stakeholders and ensure complete contract closure, extension or renewal, as appropriate.
i) Understanding the needs of assigned business units and formulate and modify templates for general transactions in accordance with the business needs.
j) Prepare and maintain all Legal MIS
Qualifications and Skills
Required Experience, Skills and Qualifications
Be a law graduate i.e. LL.B. from a reputed university in India. (Advanced degree or domain courses is a plus, but strictly not a company secretary).
b) Have a 2-4 years of total post-qualification experience in industry and/or law firms, except LPO's. Real Estate experience candidate will be preferred.
c) Demonstrate in-depth knowledge and understanding of all Commercial Laws, such as Contract Act, Companies Act, IPR Laws, Information Technology Laws, Data Protection Law, Stamp and Registration Acts, basic understanding of regulatory framework around Techno-Commercial industries, etc.
d) Be experienced in performing legal research and writing advisories to different stakeholders. Eye For detail.
e) Possess strong verbal and written communication skills and excellent record management abilities. Strong communication (Written and Oral). Good knowledge of drafting.
f) Used to working in a fast-paced environment for a dynamic company. Ready to learn approach.
g) Self-motivated and able to adapt to changing priorities. Proactive and Team Player.
h) Able to work independently on standard tasks with a minimum amount of supervision, providing feedback that assists with the work of the team.
