Job Summary
The Company Secretary will be responsible for ensuring statutory compliance, corporate governance, and legal advisory for the organization. The role acts as a key link between the Board of Directors, management, and regulatory authorities and ensures smooth secretarial operations.
Key Responsibilities
1. Compliance & Legal
- Ensure compliance with Companies Act, SEBI, and other applicable laws
- File statutory returns, forms, and disclosures with ROC/MCA.
- Maintain statutory registers, records, and documentation.
- Monitor regulatory changes and implement required actions.
- Company secretaries ensure adherence to legal and regulatory requirements and act as compliance officers.
2. Board & Meeting Management
- Organize Board Meetings, Committee Meetings, and AGMs.
- Prepare agenda, notices, resolutions, and minutes.
- Ensure proper documentation and follow-up on action points.
- Managing board processes and maintaining accurate records is a core responsibility.
3. Corporate Governance
- Advise directors on legal responsibilities and governance practices.
- Ensure implementation of corporate governance policies.
- Support risk management and ethical compliance.
- CS acts as a key advisor to the board on governance and corporate conduct..
4. Liaison & Coordination
- Coordinate with auditors, legal advisors, and regulators.
- Act as a bridge between management, shareholders, and authorities.
- Handle investor and stakeholder communication.
5. Secretarial & Documentation Work
- Draft agreements, policies, and legal documents.
- Maintain minutes books, shareholding records, and filings.
- Assist in annual report preparation.
6. Industry-Specific (Electrical Manufacturing)
- Ensure compliance with factory laws, environmental, and industrial regulations.
- Support licensing, approvals, and regulatory audits.
- Work closely with finance and operations teams.
Qualification
- Qualified Company Secretary (Member of ICSI).
- LLB (preferred but not mandatory).
Skills Required
- Strong knowledge of Company Law & compliance.
- Drafting and documentation skills.
- Good communication & stakeholder management.
- Analytical and problem-solving ability.
- High integrity and confidentiality handling.
Experience Requirement
- 3–4 years of relevant experience in Listed companies in Electrical Manufacturing Company.
Preferred Profile
- Experience in manufacturing or electrical industry.
- Exposure to ROC filings, audits, and board handling.
- Ability to work independently.
