Key Responsibilities
- Ensure compliance with the Companies Act, 2013, SEBI Regulations, Listing Regulations, and other applicable corporate laws.
- Organize and manage Board Meetings, Committee Meetings, and General Meetings, including preparation of notices, agendas, minutes, and follow-up actions.
- Maintain statutory registers, records, and secretarial documentation.
- Prepare and file ROC forms, annual returns, disclosures, and other statutory filings within prescribed timelines.
- Independently handle stock exchange compliances and regulatory reporting.
- Coordinate and manage Secretarial Audits and other compliance audits.
- Liaise with regulatory authorities, legal advisors, statutory auditors, internal auditors, and consultants.
- Draft, review, and vet legal agreements, contracts, corporate policies, and other legal documents.
- Advise the Board of Directors on corporate governance and compliance matters.
- Manage shareholder-related activities, including General Meetings, Postal Ballots, and related documentation.
- Handle incorporation of Companies and LLPs and related statutory compliances.
- Assist in compliance for IPO, FPO, Private Placement, Preferential Issues, and Loan Against Shares (preferred).
- Coordinate with internal departments to ensure timely statutory and regulatory compliance.
- Identify compliance risks and recommend appropriate corrective actions.
Pay: ₹900,000.00 - ₹1,100,000.00 per year
