Role Definition
The Head – IPO Execution will be responsible for leading and managing the end-to-end IPO execution process, including strategic planning, financial due diligence, regulatory compliance, stakeholder management, and post-listing obligations. The role will drive merchant banking assignments, ensure seamless coordination with internal and external stakeholders, mentor the IPO team, and ensure successful execution of IPO mandates in compliance with SEBI and other applicable regulations.

Tasks & Activities
1. IPO Strategy & Execution
· Lead and oversee the complete IPO lifecycle from mandate to listing.
· Develop and execute IPO roadmaps with defined timelines, milestones, and deliverables.
· Drive issue structuring, valuation discussions, and capital raising strategies.
· Conduct IPO readiness assessments, identify execution risks, and implement mitigation plans.
· Coordinate appointment and management of merchant bankers, legal advisors, auditors, registrars, and other intermediaries.
· Monitor overall project progress and ensure alignment with regulatory and business objectives.
2. Financial Due Diligence & Review
· Lead financial due diligence and review of client financial statements, business models, and financial projections.
· Review and finalize Initial Financial Due Diligence (IFDD) Reports, FDDR, and other financial disclosures.
· Evaluate valuation methodologies, capital structure, related-party transactions, and financial risks.
· Coordinate with statutory auditors, peer review auditors, and management on financial reporting matters.
· Ensure quality, completeness, and accuracy of all financial deliverables.
· Support management in key financial decision-making throughout the IPO process.
3. Regulatory Compliance & Documentation
· Ensure timely preparation, review, and filing of DRHP, RHP, Prospectus, and other statutory documents.
· Ensure compliance with SEBI, ICDR, LODR, ROC, Stock Exchange, and Merchant Banking regulations.
· Liaise with regulators, auditors, legal advisors, and intermediaries for regulatory approvals.
· Maintain complete statutory documentation and filing records.
· Track regulatory updates and implement required process or documentation changes.
· Ensure timely completion of escrow arrangements, post-issue compliances, and listing obligations.
4. Stakeholder & Client Management
· Act as the primary point of contact for clients, regulators, merchant bankers, auditors, legal advisors, and internal stakeholders.
· Conduct client meetings and site visits to understand business operations and identify risks.
· Lead periodic project review meetings and monitor execution progress.
· Resolve critical project issues and regulatory queries within defined timelines.
· Present project updates, execution status, and key risks to senior management.
· Build and maintain strong client relationships throughout the engagement.
5. Team Leadership & Process Excellence
· Lead, mentor, and develop IPO execution teams across various levels.
· Allocate assignments, monitor performance, and ensure timely delivery of projects.
· Conduct technical training sessions on IPO regulations, financial due diligence, presentations, and emerging industry practices.
· Drive process improvements, standardization, and implementation of best practices.
· Ensure effective utilization of project management tools and reporting systems.
· Foster a culture of continuous learning, accountability, and operational excellence.
6. Investor Relations & Post-Listing Compliance
· Coordinate with merchant bankers and PR agencies for investor presentations, roadshows, and marketing activities.
· Support management in presenting the company's investment proposition to investors.
· Review investor communication materials, FAQs, and public disclosures.
· Establish Investor Relations (IR) processes and disclosure frameworks post listing.
· Monitor post-listing compliance, periodic reporting, and investor engagement.
· Review post-listing performance and identify opportunities for process improvement in future assignments.
Education
· Chartered Accountant (CA)
· Company Secretary (CS) with a valid Membership Number
Experience
· 10–15+ years of overall experience in IPOs, Merchant Banking, Capital Markets, or Financial Due Diligence.
· Minimum 5 years of leadership experience managing IPO execution teams.
· Hands-on experience in end-to-end IPO execution, including pre-issue and post-issue activities.
· Strong knowledge of SEBI Regulations, ICDR Regulations, LODR Regulations, Companies Act, and Merchant Banking Guidelines.
· Experience in handling multiple IPO assignments and coordinating with regulators and intermediaries.
· Proven leadership in stakeholder management, team development, and strategic decision-making.
Pay: ₹1,500,000.00 - ₹1,600,000.00 per year
