Job Description

Position: Company Secretary (Group Companies)

Openings: 4 Positions

Location: Vadodara, Gujarat

Company: Wardwizard Group of Companies

Role Overview

Wardwizard Group is looking to hire three qualified Company Secretaries to manage the secretarial

and compliance functions of different group entities. The role will ensure that all companies within the

group comply with statutory, regulatory, and corporate governance requirements under applicable

laws.

Candidates with ACS Membership Number (Associate Member of ICSI) will be preferred.

Key Responsibilities

1. Corporate Governance

 Advise the Board of Directors and senior management on corporate governance practices and

statutory obligations.

 Ensure compliance with the Companies Act, SEBI regulations, and other applicable statutory

requirements.

 Implement and maintain strong governance practices across group companies.

2. Board & Shareholder Meetings

 Organize and coordinate Board Meetings, Committee Meetings, and General Meetings.

 Prepare and circulate meeting agendas, notices, minutes, and board resolutions.

 Ensure proper documentation and maintenance of board records.

3. Secretarial Functions

 Maintain statutory registers, records, and secretarial documentation as required under the

Companies Act.

 Handle ROC filings, statutory returns, and compliance documentation.

 Provide general secretarial and administrative support to management.

4. Compliance Management

 Ensure timely statutory filings and regulatory compliance for all group entities.

 Monitor changes in corporate laws and regulatory frameworks and advise management

accordingly.

 Coordinate with legal, finance, and other departments for compliance matters.

5. Risk Management

 Identify potential compliance and governance risks and recommend mitigation strategies.

 Support in developing and implementing internal compliance policies and procedures.

6. Record Keeping

 Maintain corporate records, legal documents, contracts, and statutory registers.

 Ensure confidentiality and accuracy of all corporate records.

7. Communication & Coordination

 Act as a link between the Board of Directors, management, and shareholders.

 Facilitate communication related to governance and compliance matters.

Qualifications & Requirements

Education:

 Qualified Company Secretary (CS) from Institute of Company Secretaries of India (ICSI)

Membership:

 ACS Membership Number Preferred

Experience:

 1–3 years of experience in Secretarial or Corporate Governance role

 Fresher’s with ACS membership may also apply

Skills Required:

 Strong knowledge of Companies Act, Corporate Governance, and ROC compliances

 Good documentation and communication skills

 Ability to manage compliance for multiple entities within a group structure
