JOB DESCRIPTION

Position: Company Secretary

Openings: 1 Position

Location: Vadodara, Gujarat

Role Overview

Wardwizard Innovations & Mobility Limited is looking to hire a qualified Company Secretary to manage the secretarial and compliance functions of the organization. The role will ensure compliance with statutory, regulatory, and corporate governance requirements under applicable laws.

Candidates with ACS Membership Number (Associate Member of ICSI) will be preferred.

Key Responsibilities

1. Corporate Governance

· Advise the Board of Directors and senior management on corporate governance practices and statutory obligations.

· Ensure compliance with the Companies Act, SEBI regulations, and other applicable statutory requirements.

· Implement and maintain strong governance practices within the organization.

2. Board & Shareholder Meetings

· Organize and coordinate Board Meetings, Committee Meetings, and General Meetings.

· Prepare and circulate meeting agendas, notices, minutes, and board resolutions.

· Ensure proper documentation and maintenance of board records.

3. Secretarial Functions

· Maintain statutory registers, records, and secretarial documentation as required under the Companies Act.

· Handle ROC filings, statutory returns, and compliance documentation.

· Manage and oversee the complete secretarial and statutory compliance requirements of 4–5 private limited companies within the group.

· Ensure timely ROC filings, maintenance of statutory registers, preparation of resolutions, minutes, and other statutory documentation for these private companies.

· Provide general secretarial and administrative support to management.

4. Compliance Management

· Ensure timely statutory filings and regulatory compliance.

· Monitor changes in corporate laws and regulatory frameworks and advise management accordingly.

· Coordinate with legal, finance, and other departments for compliance matters.

· Coordinate with directors, management, auditors, legal advisors, and other stakeholders to ensure timely completion of corporate and regulatory compliances.

· Maintain compliance calendars and ensure that all applicable filings, disclosures, and statutory obligations are completed within prescribed timelines.

5. Risk Management

· Identify potential compliance and governance risks and recommend mitigation strategies.

· Support in developing and implementing internal compliance policies and procedures.

6. Record Keeping

· Maintain corporate records, legal documents, contracts, and statutory registers.

· Ensure confidentiality and accuracy of all corporate records.

7. Communication & Coordination

· Act as a link between the Board of Directors, management, and shareholders.

· Facilitate communication related to governance and compliance matters.

Qualifications & Requirements

Education:

· Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI)

Membership:

· ACS Membership Number Preferred

Experience:

· 4–7 years of experience in Secretarial or Corporate Governance role

· Prior experience in handling compliance and secretarial matters for multiple companies, including private limited companies, will be preferred.

Skills Required:

· Strong knowledge of Companies Act, Corporate Governance, and ROC compliances.

· Good documentation and communication skills.

· Ability to manage corporate compliance and governance functions effectively.

· Strong organizational skills with the ability to independently manage compliance requirements across multiple companies.

Pay: ₹40,000.00 - ₹60,000.00 per month
