Company Secretary

About the Role;-

We are looking for a qualified and experienced Company Secretary (CS) to ensure compliance with statutory and regulatory requirements and to implement effective corporate governance practices.

The role requires strong knowledge of company law, corporate governance, and regulatory filings, along with advisory skills to support management in strategic and legal matters.

Industry: Chartered Accountancy, Company Secretary Firm, Consultancy Services

Location: Patna, Bihar

Key Responsibilities

Ensure compliance with Companies Act, 2013, SEBI regulations, FEMA, and other applicable corporate laws.
Handle all statutory filings with MCA/ROC, RBI, SEBI, and other regulatory authorities.
Draft, review, and maintain Board Resolutions, Minutes, Notices, and Agenda for Board & General Meetings.
Act as a liaison between Board of Directors, management, regulators, and shareholders.
Advise on corporate governance practices and ensure the company adheres to best practices.
Maintain and update statutory registers, records, and filings.
Support in corporate restructuring, mergers, acquisitions, joint ventures, and due diligence.
Assist in drafting agreements, contracts, and compliance-related documentation.
Advise management on legal, compliance, and regulatory risks.
Coordinate with auditors, consultants, and external stakeholders.

Required Qualifications & Skills:-

Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
Minimum 3 years of experience in corporate compliance, governance, and regulatory matters.
Strong understanding of corporate laws, SEBI guidelines, FEMA, and related legislations.
Excellent drafting, communication, and presentation skills.
Ability to work independently and manage multiple assignments.
Strong ethics, integrity, and attention to detail.

Preferred:

Exposure to working in Chartered Accountancy / CS Firms / Consultancy firms.
Knowledge of taxation, accounting, and financial regulations will be an added advantage.
