Position: Company Secretary (CS) – Job Description

Ensure compliance with all statutory and regulatory requirements under applicable company laws.
Prepare and maintain statutory registers, records, and company documents.
Organize Board Meetings, Annual General Meetings (AGM), and Extraordinary General Meetings (EGM).
Draft agendas, notices, minutes of meetings, and board resolutions.
File annual returns, statutory forms, and other compliance documents with regulatory authorities.
Coordinate with auditors, legal advisors, government departments, and regulatory bodies.
Monitor changes in corporate laws and advise management on compliance requirements.
Handle company incorporation, amendments, and other secretarial matters.
Maintain corporate governance standards and ensure adherence to company policies.
Assist management in legal documentation, contracts, and agreements.
Manage shareholder records and address shareholder-related queries.
Ensure timely renewal of licenses, registrations, and statutory approvals.
Support management in due diligence, audits, and compliance reviews.
Maintain confidentiality of company records and sensitive information.
Prepare compliance reports and submit updates to senior management.
