Senior Manager – Finance & Capital Closure
Role Overview
Suma Shilp is scaling fast, with residential and commercial projects across Pune, MMR (Mumbai Metropolitan Region), and GIFT City. The Senior Manager – Finance & Capital Closure owns financial closure end-to-end — securing construction finance, locking the capital stack (bank CF, NBFC tranches, AIF/NCD instruments), managing lender documentation, and driving timely disbursement. A hands-on, high-accountability role demanding urgency, precision, and strong institutional relationships.
Key Responsibilities1. Financial Closure & Capital Stack Execution
- Drive financial closure for active projects from term sheet to first disbursement, owning the timeline.
- Coordinate and lock all tranches of the capital stack: bank construction finance (CF), NBFC/HFC senior debt, mezzanine/AIF instruments (including PIK NCDs), and promoter equity contribution.
- Own term sheet review, negotiation, and progression — tracking open conditions, lender queries, and approval milestones across all active funding lines simultaneously.
- Maintain a live financial closure tracker covering sanction status, documentation completion, disbursement conditions, and outstanding CPs (Conditions Precedent) across all lenders.
- Ensure capital availability is aligned with construction draw-down schedules; proactively flag shortfalls or disbursement delays.
2. Construction Finance (CF) – Lender Management
- Lead active engagement with bank and NBFC lenders for construction finance sanctions — managing appraisal, due diligence, site visits, and internal credit approval processes.
- Prepare and submit all lender-required documentation: Information Memorandum (IM), project cost statements, cost-to-complete, QS reports, end-use certificates, and progress reports.
- Coordinate MODT, security creation, title confirmation, and legal documentation with internal legal and external counsel.
- Manage draw-down requests and ensure disbursement timelines are met in line with contractor payment obligations and construction progress (PCC, OC milestones).
- Track and comply with all financial and non-financial covenants (LTV ratios, DSCR, RERA compliance, end-use certification) across the lending consortium.
3. NBFC, AIF & Structured Finance Coordination
- Support structuring and placement of AIF/NCD instruments (including Category II AIFs with PIK structures) in coordination with placement advisors and fund managers.
- Prepare mandate documents, investor decks, and term sheets for mezzanine and structured debt tranches; support negotiations on charge structure, LTV, IRR, and exit provisions.
- Manage inter-creditor dynamics across lenders — including charge sharing arrangements, pari-passu structures, and ICA (Inter-Creditor Agreement) negotiations.
- Coordinate LRD (Lease Rental Discounting) takeout structuring and execution for commercial assets as part of project exit or refinancing strategy.
- Structure and execute Loan Against Property (LAP) facilities against completed or leased assets — sizing limits against asset value and rental cashflows, and driving lender appraisal, documentation, and disbursement to closure.
4. Lender Relationship Management & Follow-Up
- Build and maintain high-trust relationships with relationship managers, credit officers, and senior leadership at banks, NBFCs, and AIF fund houses.
- Execute disciplined, daily follow-ups with lender teams — tracking term sheet issuance, sanction letters, documentation completion, and disbursement authorizations.
- Act as the single point of contact for all lender queries — resolving technical, legal, collateral, and financial questions swiftly to prevent process delays.
- Maintain a structured lender communication log; escalate proactively when timelines are at risk.
5. Collateral Management & Security Documentation
- Oversee collateral valuation, charge creation, mortgage documentation, and NOC management across primary and additional security assets.
- Manage LTV adequacy monitoring — supporting revaluation requests, top-up collateral proposals, and covenant compliance certifications.
- Coordinate with legal teams on SARFAESI-compliant security structures, including exclusive vs. pari-passu charge arrangements with multiple lenders.
- Track and manage title documentation, encumbrance certificates, valuation reports, and lender due diligence requirements on an ongoing basis.

Financial Closure Execution
Proven track record of independently driving CF sanctions and disbursements to closure; not just support roles
Capital Stack Literacy
Deep working knowledge of bank CF, NBFC structures, AIF/NCD instruments, PIK mechanics, LRD, and ICA frameworks
Secured Lending Products (LAP / LRD)
Hands-on experience structuring and executing Loan Against Property (LAP) and Lease Rental Discounting (LRD) facilities — including takeout financing of leased commercial assets, rental cashflow and tenancy assessment, DSCR sizing, and refinancing strategy
Lender Follow-Up Discipline
Exceptional follow-through with banks and NBFCs — structured, persistent, and relationship-sensitive
Term Sheet & Documentation
Experience reviewing and negotiating term sheets, loan agreements, security creation clauses, and CP satisfaction
Collateral & LTV Management
Hands-on experience managing collateral packages, charge structures, valuation coordination, and LTV covenant compliance
Real Estate Project Finance
Familiarity with RERA timelines, PCC/OC milestones, construction draw-down schedules, and cost-to-complete reporting
Analytical & Modelling Skills
Ability to build and interpret project finance models, DSCR calculations, IRR/NPV analysis, and sensitivity scenarios
Communication & Influence
Ability to represent the company credibly with senior lender relationships and negotiate assertively yet diplomatically
Qualifications & Experience
- MBA in Finance from a reputed institution; CA / CFA will be an added advantage.
- 7–12 years of experience in real estate or infrastructure project finance, with a strong emphasis on construction finance, lender management, financial closure, and secured lending products (LAP, LRD).
- Demonstrated experience working directly with bank credit teams, NBFC relationship managers, and AIF/fund house counterparts — not just in a support or back-office capacity.
- Prior exposure to multi-lender capital stacks, inter-creditor negotiations, and structured debt instruments in the real estate sector is essential.
- Familiarity with RERA compliance and reporting requirements across relevant states will be preferred.
- Candidates with experience at real estate developers, NBFC real estate lending desks, or real estate-focused investment banks / placement advisors will be given preference.
