ROLE OVERVIEW
Stature Properties Pvt. Ltd. is looking for an experienced Corporate & Real Estate Legal Counsel who can independently manage the company's corporate legal matters, statutory compliances, contracts, agreements, documentation and real-estate legal requirements.
The ideal candidate should have strong practical experience in Private Limited Company laws and regulations along with hands-on exposure to real estate transactions, RERA, builder/developer and channel partner agreements, customer documentation and property-related legal matters.
This is an in-house, hands-on role requiring the candidate to take ownership of the company's legal requirements, identify risks, ensure compliance and provide practical legal solutions to management and business teams.
KEY RESPONSIBILITIES1. CORPORATE LAW & COMPANY COMPLIANCE
- Handle day-to-day legal matters relating to Private Limited Company operations.
- Ensure compliance with applicable Companies Act, rules and regulations.
- Coordinate and support ROC/MCA-related compliances, filings and statutory requirements.
- Assist with preparation and maintenance of Board Resolutions, shareholder documents, minutes and corporate records.
- Review and advise management on company policies, terms and conditions and internal legal processes.
- Identify potential legal and regulatory risks and recommend appropriate solutions.
- Coordinate with Company Secretary, CA, auditors and external legal professionals wherever required.
- Maintain proper records of corporate legal documents and statutory compliances.
- Ensure the company's agreements, policies and business practices are legally compliant.
2. CONTRACTS & AGREEMENTS
Draft, review, negotiate and maintain:
- Channel Partner Agreements
- Builder / Developer Agreements
- Vendor Agreements
- Service Agreements
- Consultancy Agreements
- NDA / Confidentiality Agreements
- MoUs
- Employment-related agreements and policies
- Customer agreements and declarations
- Commission / incentive agreements
- Marketing and promotional agreements
- Partnership / collaboration agreements
- Terms & Conditions and business policies
Ensure that agreements clearly define commercial terms, payment obligations, commission structures, responsibilities, liabilities, termination clauses, confidentiality, indemnity, dispute resolution and risk protection.
3. REAL ESTATE LEGAL RESPONSIBILITIES
- Handle legal requirements related to plots, villas, apartments and residential projects.
- Review and verify project-related legal documentation provided by builders/developers.
- Conduct or coordinate legal due diligence and document verification.
- Review property-related documents such as:
- Sale Agreements
- Sale Deeds
- Development Agreements
- Joint Development Agreements
- Title Documents
- Encumbrance Certificates
- RTC / Revenue Records
- Khata / Property Records
- Approvals and Sanctions
- RERA-related documents
- Identify potential legal risks in projects before recommending them for business/sales.
- Coordinate with builder/developer legal teams regarding documentation and legal clarifications.
- Support the sales team in resolving customer documentation and transaction-related legal issues.
4. RERA & REAL ESTATE REGULATORY COMPLIANCE
- Maintain practical knowledge of RERA and applicable Karnataka real-estate regulations.
- Review RERA registrations, project details and related disclosures.
- Advise management and sales teams on RERA-related requirements and risks.
- Review marketing materials, project claims, offers and representations from a legal-compliance perspective.
- Assist in handling customer complaints, notices and regulatory matters relating to real estate.
- Monitor changes in applicable real-estate laws and regulations and communicate their impact to management.
5. CHANNEL PARTNER LEGAL SUPPORT
Since Stature operates as a Real Estate Channel Partner, the candidate should be capable of handling:
- Builder–Channel Partner agreements
- Commission and payout terms
- Lead ownership and customer attribution clauses
- Project-specific commercial terms
- Sales and marketing obligations
- Confidentiality and data protection provisions
- Liability and indemnity clauses
- Termination and exit clauses
- Dispute-resolution mechanisms
- Builder/channel partner documentation
- Customer-related legal issues arising during the sales process
6. LEGAL DOCUMENTATION & BUSINESS SUPPORT
- Create and maintain a centralised legal documentation system.
- Prepare standard legal templates for recurring business requirements.
- Review documents before signing or execution.
- Maintain an agreement renewal and expiry tracker.
- Ensure proper execution, stamping and registration wherever legally applicable.
- Provide legal opinions and practical recommendations to management.
- Support HR, Sales, Marketing, Finance and Operations teams on legal matters.
- Maintain a legal compliance calendar and ensure timely action.
- Coordinate with external advocates/law firms for matters requiring specialised legal representation.
7. LEGAL RISK MANAGEMENT & DISPUTE HANDLING
- Identify contractual, corporate and real-estate risks before they become disputes.
- Review legal notices received by the company and recommend appropriate action.
- Draft or coordinate responses to legal notices.
- Support management in handling customer, builder, vendor and employee-related legal disputes.
- Coordinate with external advocates for litigation and court matters when required.
- Maintain a tracker of ongoing legal cases, notices and disputes.
WHAT WE ARE LOOKING FOR
We are looking for a practical, business-oriented legal professional, not someone whose experience is limited to legal research or court proceedings.
The candidate should be capable of:

across both corporate and real-estate legal matters.
REQUIRED EXPERIENCE
- 3–4 years of relevant legal experience.
- Strong experience in Corporate / Commercial Law.
- Practical experience handling Private Limited Company legal matters.
- Hands-on experience in contracts and agreement drafting/review.
- Real estate legal experience is mandatory/preferred.
- Experience with RERA and real-estate documentation.
- Experience with builder/developer/channel partner agreements is highly preferred.
- Understanding of property documentation and legal due diligence.
- Ability to independently identify legal risks and provide practical solutions.
- Strong drafting, negotiation and communication skills.
- Ability to work directly with management and business teams.
