Salary: ₹35,000 – ₹50,000 per month

Job Description

Vyomtax Compliance Private Limited is looking for a qualified and capable Company Secretary (CS) to join our professional team at our office in Kundli, Sonipat.

The candidate will be responsible for handling Company Law, MCA/ROC, secretarial and corporate compliance matters for the company as well as its clients. The role will involve both compliance execution and professional coordination with clients, consultants and government authorities.

Key Responsibilities

Handling day-to-day Companies Act, 2013 and corporate law compliances.
Preparation and filing of MCA/ROC forms and returns, including incorporation, annual filings, changes in directors/shareholding, charges and other statutory filings.
Preparation of Board Meeting and General Meeting notices, agendas, minutes and resolutions.
Maintenance and updating of statutory registers, records and corporate documents.
Handling incorporation of companies, LLPs and related post-incorporation compliances.
Drafting and reviewing Board resolutions, shareholders' resolutions, notices, declarations, agreements and other corporate documents.
Handling Director/KMP-related compliances, appointments, resignations and related MCA filings.
Assisting clients with corporate restructuring, conversion, alteration of share capital, changes in registered office and other Companies Act matters.
Coordination with MCA, ROC and other regulatory authorities wherever required.
Monitoring compliance calendars and ensuring timely completion of statutory compliances.
Communicating with clients and providing professional guidance on routine corporate compliance matters.
Coordinating with the firm's CA, legal and tax professionals on matters requiring multidisciplinary support.
Keeping updated with changes in the Companies Act, LLP Act, MCA rules, notifications and regulatory requirements.

Candidate Profile

Required:

Qualified Company Secretary (CS).
Good practical knowledge of the Companies Act, 2013 and MCA/ROC compliances.
Experience in handling MCA filings and corporate secretarial work.
Good drafting, documentation and communication skills.
Ability to independently handle assignments and interact with clients professionally.
Good working knowledge of MCA portal and MS Office.

Preferred:

Candidates with 1–5 years of relevant post-qualification experience.
Experience in a CA/CS/law firm, consultancy or professional services organisation will be preferred.
Exposure to company incorporation, LLP matters, restructuring and other corporate compliance assignments will be an advantage.
