We are looking for Company Secretary to have a control over the Company Secretarial Functions of the Legal Entity.
Your Responsibilities:
Board Meetings (BM) : Organizing board meetings ensuring the compliance of the Companies Act and the Secretarial Standards. Prepare agendas, meeting notices, and board papers maintain minutes of meetings. Maintain statutory registers, records, and company documents.
General Meetings : Organizing General meetings (EGM/AGM) ensuring the compliance of the Companies Act and the Secretarial Standards.
Statutory Returns : Signing and filing information with the Registrar of Companies to report certain changes regarding the Company or to comply with requirements for periodic filing
Corporate Governance : Continually reviewing developments in corporate governance and advising and assisting the directors with respect to their duties and responsibilities compliance with company law.
Report & Accounts : Share required information to Shareholders

Memorandum & Articles of Association : Ensuring that the Company complies with its Memorandum and Articles of Association and, drafting and incorporating amendments in accordance with correct procedures as per statute and of the Group policy in case of any amendment to the Act or Group Policy

Share Registration : Maintaining and updating the company’s register of members; dealing with transfers and other matters affecting shareholdings; dealing with queries and requests from shareholders

General Compliance : Compliance with relevant regulatory and legal requirements, under the Companies Act, the rules made there under and other laws applicable to the Company including compliance under FEMA, industrial & labor laws, legal requirements on retention of documents; retaining the minimum set of records required for commercial reasons; ensuring that procedures are in place to allow adequate historical archive to be maintained. Monitor changes in corporate laws and advise management accordingly

Liaise with regulatory authorities such as MCA and ROC. Assist in legal and compliance audits

Maintain compliance calendar in order to comply with the requirement under various Laws.

CSR Activities Manage the CSR activities of the legal entity by ensuring all the necessary meetings and documentation are maintained

Finance related work and statutory related work mainly with respect to CSR & other Group related filings

Coordinate due diligence activities with Legal Counsel and Group Legal team to review the Customer/Supplier NDAs and agreements.
What You'll Bring:

Membership of the Institute of Company Secretaries of India with a University degree in Accounting, Commerce, or Business Management/Administration.

Post Qualification experience of around 4-6 years

LLB would be added advantage

Strong organizational and coordination skills.

Good communication and interpersonal skills.

Proficiency in MS Office (Excel, Word, PowerPoint, Outlook).
