Job Title: Company Secretary
Location: Arumbakkam, Chennai
Experience: 2–5 Years

Roles & Responsibilities

Manage Board, Committee, and Shareholders’ Meetings, including agendas, minutes, and resolutions.
Ensure compliance with the Companies Act, Secretarial Standards, and RBI/NBFC regulations.
Handle ROC filings, annual returns, statutory registers, and other secretarial compliances.
Monitor RBI/NBFC, KYC, AML/PMLA, FEMA, and other applicable regulatory requirements.
Maintain compliance calendars and track statutory and regulatory deadlines.
Prepare and submit applicable RBI returns, certifications, and regulatory reports.
Track regulatory updates and advise management/Board on key compliance requirements.
Coordinate with auditors, legal advisors, regulators, lenders, trustees, and rating agencies.
Support internal and secretarial audits, inspections, and regulatory due diligence.
Review and maintain corporate policies, agreements, authorisations, and Board documentation.
Support fundraising, borrowings, restructuring, mergers, and investor-related activities.
Advise senior management and the Board on corporate governance and regulatory matters.
Ensure proper maintenance and confidentiality of all corporate and statutory records.

Qualifications & Skills

Qualified / Semi Qualified Company Secretary (ACS/FCS) from the Institute of Company Secretaries of India (ICSI).
2–5 years of relevant experience, preferably in an NBFC or financial services organisation.
Strong knowledge of Companies Act, RBI/NBFC regulations, ROC compliances, and secretarial standards.
Good understanding of KYC/AML/PMLA, FEMA, SEBI regulations, and allied laws.
Exposure to lending operations and treasury structures will be an advantage.
LLB, CA Inter, or CMA Inter qualification/exposure is preferred.
Strong communication, documentation, analytical, and stakeholder management skills.
High level of integrity, attention to detail, and confidentiality.

Pay: ₹1,000,000.00 - ₹1,200,000.00 per year
