Job Description: Company Secretary (CS)

About Clean Electric

Clean Electric is a Series A funded battery tech company focused on designing and manufacturing advanced li-ion batteries for EVs and energy storage applications which enable 12-min rapid charging, long life and unrivalled safety. We are pushing the boundaries of the EV industry with our Direct Contact Liquid Cooling (DCLC) thermal management, integrated cell-to-pack (CTP) architecture, and proprietary dynamic charging algorithms running on a custom-engineered in-house battery management system.

Founded in 2020 by IIT-BHU graduates Akash Gupta, Abhinav Roy and Ankit Joshi, we are today rapidly scaling and deploying our tech across 2W and 3W segments with plans to enter 4W and commercial vehicles as well. The team comprises multiple IIT, IIM graduates and industry professionals and we are backed by some of the leading Indian VCs.

Role Overview

The Junior Company Secretary will support the organization in ensuring compliance with statutory and regulatory requirements. This role involves assisting in corporate governance processes, maintaining statutory records, and coordinating board and compliance activities.

Role Description and Key Responsibilities

The role involves tasks including but not limited to -

Compliance & Regulatory Support
Assist in ensuring compliance with the Companies Act, 2013 and other applicable regulations
Support filing of statutory returns and forms with the Ministry of Corporate Affairs (MCA)
Track regulatory updates and assist in implementing compliance changes
Maintain compliance calendars and records

2. Board & Meeting Coordination

Assist in organizing Board Meetings, Committee Meetings, and Annual General Meetings (AGMs)
Support preparation of agendas, notices, and minutes
Maintain proper documentation and records of meetings
Track action items and follow-ups

3. Corporate Governance

Support implementation of corporate governance practices
Maintain statutory registers and company records
Assist in ensuring adherence to internal policies and ethical standards

4. Secretarial & Compliance Reporting

Assist in preparation of compliance reports and disclosures
Support secretarial audit processes
Coordinate with internal teams and external consultants/auditors

5. Legal & Documentation Support

Assist in drafting board resolutions and basic legal documents
Maintain and organize corporate documentation and records
Support due diligence and documentation requirements when needed

6. Stakeholder Coordination

Act as a coordination point between internal teams and external stakeholders
Assist in handling communications with regulatory authorities

Desired Qualifications and Experience

Qualified Company Secretary (CS) from the Institute of Company Secretaries of India or CS (Inter) with relevant experience
1–2 years of experience in secretarial/compliance roles (freshers with strong knowledge may be considered)
Exposure to corporate law compliance and filings preferred

Desired Skills and Attributes

Basic understanding of corporate laws and compliance frameworks
Strong drafting and documentation skills
Attention to detail and good organizational ability
Willingness to learn and grow in a fast-paced environment
Good communication and coordination skills

Near Chakan, Pune, India (on-site)
