As part of our expansion, we are seeking a highly experienced Corporate Incorporation & Compliance Professional who can independently handle entity formation and corporate compliance matters from consultation to completion.

Position Overview:

The Company Incorporation & Corporate Compliance Executive will be responsible for handling business setup, incorporation, registrations, corporate restructuring, and regulatory compliance matters for various business entities.

The ideal candidate should have practical experience in handling company incorporations from start to finish, including client consultation, structure selection, name reservation, documentation, registrations, MCA filings, post-incorporation compliances, and ongoing corporate support.

The candidate must be capable of independently managing multiple incorporation projects simultaneously while ensuring complete regulatory compliance.

Key ResponsibilitiesBusiness Formation & Incorporation

Handle end-to-end incorporation of:
Private Limited Companies
Public Limited Companies
One Person Companies (OPC)
Limited Liability Partnerships (LLP)
Producer Companies
Nidhi Companies
Section 8 Companies
Partnership Firms
Proprietorship Concerns
Trusts
Societies
NGOs and Charitable Organizations
Advise clients on selecting the most suitable legal structure based on business objectives, taxation, compliance requirements, investment plans, and operational needs.
Conduct pre-incorporation consultations and business structuring discussions.
Assist clients in planning ownership structures, capital structures, management frameworks, and governance mechanisms.

MCA & Registration Management

Manage complete incorporation processes through MCA Portal.
Handle DSC procurement and management.
Coordinate DIN applications and director onboarding.
Conduct name availability checks and reservation processes.
Prepare and file incorporation applications and statutory forms.
Ensure successful issuance of Certificates of Incorporation.
Coordinate PAN, TAN, GST, MSME, IEC, Professional Tax, Shops & Establishment, and other registrations.

Drafting & Documentation

Draft and review:
Memorandum of Association (MOA)
Articles of Association (AOA)
LLP Agreements
Partnership Deeds
Trust Deeds
Section 8 incorporation documents
Board Resolutions
Shareholder Resolutions
Founder Agreements
Shareholding Documents
Corporate Governance Documents
Statutory Corporate Records
Ensure all documentation complies with applicable laws and regulatory requirements.

Corporate Compliance & Secretarial Support

Handle ROC filings and statutory compliance requirements.
Monitor annual filing obligations and regulatory deadlines.
Assist in maintenance of statutory registers and records.
Coordinate event-based filings and corporate changes.
Support changes relating to:
Directors
Partners
Shareholders
Registered Offices
Capital Structure
LLP Partners
Business Objects

Section 8, NGO, Trust & Society Practice

Handle incorporation and registration of:
Section 8 Companies
Public Charitable Trusts
Private Trusts
Societies
NGOs
Assist in obtaining:
12A Registration
80G Registration
CSR Eligibility Compliance
NGO Regulatory Registrations
Related Approvals and Certifications

Client Advisory & Project Management

Coordinate directly with clients regarding incorporation requirements and documentation.
Provide regular status updates and progress reports.
Handle client meetings and consultations.
Maintain incorporation trackers and project monitoring systems.
Ensure smooth completion of projects within committed timelines.

Cross-Functional Coordination

Coordinate with legal, taxation, accounting, banking, compliance, and business advisory teams.
Assist clients with post-incorporation operational requirements.
Coordinate banking account opening processes and related documentation.
Support business restructuring, partnership admissions, exits, conversions, and mergers where applicable.

Required Qualifications

Bachelor’s Degree in Commerce, Law, Management, Company Secretaryship, Finance, or related field.
Minimum 2+ years of practical experience in company incorporation and corporate compliance.
Strong knowledge of:
Companies Act, 2013
LLP Act
Partnership Laws
Trust Laws
Society Registration Laws
Section 8 Company Regulations
MCA Procedures and Filings
Hands-on experience using MCA Portal and incorporation filing systems.
Excellent drafting and documentation skills.
Strong client handling and communication abilities.

Additional qualifications such as CS (Inter/Qualified), Advocate, Corporate Consultant, Compliance Professional, or similar experience will be an added advantage.

Immediate joiners will be strongly preferred.

Compensation & Benefits

Salary: ₹25,000 – ₹40,000 per month (based on experience and capability).
