Job Description: Company Secretary
Role : The Company Secretary will serve as a key governance and compliance professional for the organization, ensuring that the Company meets its statutory, legal, and corporate governance obligations while providing effective secretarial and legal support to the Board and senior management.
Location : Administrative Office,Elamakkara
Job Purpose
The Company Secretary will be responsible for ensuring effective corporate governance, statutory and regulatory compliance, company secretarial functions, legal coordination, and timely maintenance of corporate records.
The role will support the Board of Directors and management in complying with applicable provisions of the Companies Act, corporate laws, regulatory requirements, and other relevant legal and governance obligations applicable to the Company.
The position will also coordinate with internal departments, government authorities, consultants, auditors, legal advisors, and other external stakeholders to ensure timely and accurate completion of statutory and legal requirements.
Key Responsibilities
1. Company Secretarial Functions
- Ensure compliance with applicable provisions of the Companies Act and other relevant corporate laws.
- Organize and coordinate meetings of the Board of Directors and statutory committees, wherever applicable.
- Prepare notices, agendas, board papers, minutes, and resolutions for Board and General Meetings.
- Maintain statutory registers, records, minutes books, and other secretarial documents.
- Ensure timely filing of statutory forms, returns, and documents with the Registrar of Companies and other regulatory authorities.
- Maintain and update the company's corporate records and statutory registers.
- Coordinate with directors and management for statutory approvals, declarations, disclosures, and documentation.
- Monitor changes in applicable corporate laws and advise management on their impact.
2. Corporate Governance
- Support the Board and management in maintaining high standards of corporate governance.
- Ensure proper documentation and implementation of Board decisions.
- Monitor compliance with internal policies, corporate governance requirements, and statutory obligations.
- Maintain proper records of related-party transactions, disclosures, declarations, and other governance matters.
- Ensure proper authorization and documentation of corporate decisions and approvals.
- Provide guidance to management on corporate governance practices and compliance requirements.
3. Legal Compliance and Coordination
- Coordinate with external legal counsel and legal consultants on corporate and commercial legal matters.
- Review and coordinate legal documentation, agreements, contracts, undertakings, notices, and other corporate documents.
- Support the management in identifying legal and regulatory risks.
- Coordinate with internal departments for legal compliance and documentation requirements.
- Maintain records of legal notices, litigation matters, claims, disputes, and legal proceedings.
- Assist in monitoring legal cases and coordinating with advocates and legal advisors.
- Ensure appropriate documentation and approval of agreements and contracts.
4. Regulatory and Statutory Compliance
- Monitor applicable statutory and regulatory compliance requirements relevant to the Company.
- Maintain a compliance calendar and track important due dates.
- Coordinate with finance, HR, operations, administration, and other departments to ensure timely compliance.
- Follow up on statutory filings, licenses, registrations, renewals, and regulatory submissions.
- Maintain proper records of statutory filings and regulatory correspondence.
- Escalate any potential delays, non-compliances, or legal risks to management.
5. Board and Management Support
- Act as a key point of coordination between the Board of Directors and management.
- Prepare compliance updates and reports for management and the Board.
- Provide timely updates on changes in laws, regulations, and statutory requirements.
- Support the Board and senior management in corporate restructuring, investments, acquisitions, business arrangements, and other strategic matters, where applicable.
- Coordinate with auditors, consultants, regulatory authorities, banks, government departments, and other stakeholders as required.
6. Documentation and Record Management
- Ensure proper custody and maintenance of statutory and corporate documents.
- Maintain confidentiality of sensitive corporate, legal, financial, and Board-related information.
- Establish and maintain an organized system for physical and digital corporate records.
- Ensure that approvals, authorizations, contracts, and statutory documents are properly documented and accessible.
Qualifications
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
- A Bachelor's degree in Commerce, Law, Business Administration, or a related discipline is preferred.
- LLB qualification will be an added advantage.
- Membership of ICSI is preferred/required as applicable to the position.
Experience
- Relevant experience in Company Secretarial, Corporate Governance, Legal Compliance, or a similar role.
- Experience in a manufacturing, FMCG, consumer goods, or corporate environment will be an advantage.
- Experience in handling Board meetings, statutory filings, corporate records, legal coordination, and regulatory compliance is preferred.

Payout : 3.5L-4.5L
Pay: ₹30,000.00 - ₹37,000.00 per month
