Position: Company Secretary (CS)
Department: Secretarial & Legal
Location: Rajkot, Gujarat
Company: MACPOWER CNC Machines Ltd.
Reporting To: Managing Director / Board of Directors
Experience: 1–5 Years
Qualification: Member of the Institute of Company Secretaries of India (ICSI) with a Bachelor's Degree. LLB or additional legal qualifications will be an added advantage.

Job Summary

The Company Secretary is responsible for ensuring that the company complies with all statutory and regulatory requirements under the Companies Act, SEBI regulations (if applicable), and other corporate laws. The role involves managing board meetings, maintaining statutory records, filing regulatory returns, advising management on corporate governance, and coordinating with government authorities, auditors, legal advisors, and stakeholders.

Key ResponsibilitiesSecretarial Compliance

Ensure compliance with the Companies Act, 2013 and applicable corporate laws.
Prepare and file statutory forms, annual returns, and other documents with the Registrar of Companies (ROC).
Maintain statutory registers, records, and secretarial documents.
Ensure timely compliance with MCA and other regulatory authorities.

Board & Committee Meetings

Schedule and coordinate Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).
Prepare notices, agendas, board papers, and minutes of meetings.
Maintain records of board resolutions and statutory approvals.
Follow up on action items arising from meetings.

Corporate Governance

Advise management on corporate governance best practices.
Ensure compliance with internal governance policies.
Support the Board in fulfilling its legal and fiduciary responsibilities.
Monitor changes in corporate laws and update management accordingly.

Legal & Regulatory Matters

Coordinate with legal consultants regarding contracts, agreements, and litigation.
Assist in drafting, reviewing, and maintaining legal documents.
Liaise with government departments and regulatory authorities.
Support due diligence activities for business transactions.

Documentation & Record Management

Maintain all statutory records, licenses, approvals, and certifications.
Ensure proper documentation of corporate records and legal files.
Maintain confidentiality of sensitive company information.

Coordination & Communication

Coordinate with auditors, bankers, consultants, and government authorities.
Assist departments in regulatory and legal compliance matters.
Support management during inspections, audits, and statutory reviews.

Compliance Monitoring

Prepare compliance calendars and monitor due dates.
Ensure timely completion of all statutory filings.
Conduct periodic compliance reviews and report non-compliance risks.
Recommend corrective and preventive actions where required.

Key Performance Indicators (KPIs)

Timely statutory filings with zero penalties.
Compliance with Companies Act and regulatory requirements.
Accuracy of board meeting documentation.
Timely closure of legal and compliance actions.
Successful completion of statutory audits and inspections.
Effectiveness of compliance monitoring and reporting.

Required Skills

Strong knowledge of the Companies Act, 2013 and MCA compliance.
Familiarity with SEBI regulations (if applicable).
Excellent drafting and documentation skills.
Strong communication and interpersonal skills.
Good analytical and problem-solving abilities.
Proficiency in Microsoft Office and MCA filing systems.
Ability to maintain confidentiality and attention to detail.

Preferred Experience

1–5 years of experience as a Company Secretary in a manufacturing or corporate organization.
Experience in handling ROC filings, board meetings, and statutory compliance.
Exposure to legal documentation and corporate governance practices.

Authority

Review and recommend statutory compliance actions.
Coordinate with regulatory authorities on behalf of the company.
Recommend improvements in corporate governance and compliance systems.
Escalate compliance risks to senior management.

Pay: ₹50,000.00 - ₹100,000.00 per month
