Summary of Responsibility
We are seeking an experienced Company Secretary to lead the statutory and corporate compliance requirements for our India entity while supporting our global HR, Finance, Payroll, and Legal teams by coordinating international compliance activities with external advisors and vendors.
This role is responsible for ensuring timely statutory compliance in India and serving as a central point of coordination for global compliance and tax related matters.
Key Responsibilities
India Corporate Secretarial
- Ensure compliance with the Companies Act, 2013 and other applicable corporate laws.
- Manage all MCA/ROC filings, statutory registers, annual returns, and corporate records.
- Prepare Board and Shareholder meeting notices, agendas, minutes, and resolutions.
- Coordinate with auditors, legal counsel, and external Company Secretaries.
- Monitor statutory deadlines and ensure timely compliance.
- Identify required timelines/deadlines for board meetings and shareholder meetings as well as any other requirements. Ensure all meetings are held in compliance with statutory requirements.
- Preparation of all board meeting materials, including notices, agendas and notes, board meeting scripts, minutes and any supporting documentation as applicable.
- Manage all communications with directors, including the distribution of notices and ensuring timely follow-up for signatures on circular resolutions, replies, and other documents.
- Assist with director appointments, resignations, and changes in designation, including ensuring all necessary consent forms (e.g., DIR-2, MBP-1, DIR-8) are collected and executed.
- Responsible for all statutory filings required by the Ministry of Corporate Affairs (MCA) or local authorities, ensuring 100% on-time submission.
- Maintain and update all statutory registers and records as required by the Companies Act.
- Proactively track and manage compliance timelines for various corporate filings to prevent penalties.
- Providing general support to the Legal team on administrative and operational matters.
Qualifications:
- Qualified Company Secretary (CS) and an Associate/Fellow Member of the Institute of Company Secretaries of India (ICSI) with a valid Membership Number (ACS/FCS).
- 4–6 years of relevant post-qualification experience in corporate secretarial and statutory compliance.
- Strong knowledge of the Companies Act, 2013, MCA/ROC filings, and corporate governance.
- Experience coordinating with external auditors, legal firms, and consultants.
- Excellent verbal and written communication skills with the ability to effectively interact with global stakeholders, external advisors, and senior leadership.
- Strong organizational, stakeholder management, and problem-solving skills.
- Proficiency in Microsoft Office and Google Workspace.
- Experience working with multinational organizations.
- Ability to manage multiple priorities in a fast-paced environment.
