Semi-Qualified Company Secretary (CS)

RDB Group is a diversified business group with interests across multiple sectors. The Group operates through various companies and business entities and maintains a strong focus on corporate governance, regulatory compliance, and structured business practices.

Job Purpose

The Semi-Qualified Company Secretary will be responsible for assisting in the day-to-day Secretarial, Corporate Compliance and Regulatory activities of the Group and its associated companies.

The role requires a candidate with sound knowledge of the Companies Act, 2013, MCA/ROC compliances, Secretarial Standards and corporate governance practices, along with the ability to independently manage routine secretarial assignments.

Key Responsibilities1. Corporate Secretarial Compliance

Assist in ensuring compliance with the Companies Act, 2013 and applicable rules and regulations.
Maintain statutory records, registers and corporate documents.
Assist in preparation and maintenance of statutory registers and records.
Support the Company Secretary in ensuring timely completion of statutory compliances.
Monitor compliance calendars and ensure timely filing of forms and returns with MCA/ROC.
Assist in maintaining records of shareholding, directors, KMPs and other statutory information.

2. ROC / MCA Compliance

Preparation and filing of various MCA/ROC forms and returns.
Assist in filing of forms such as AOC-4, MGT-7/MGT-7A, DIR-12, PAS-3, MSME, DPT-3 and other applicable forms.
Track statutory filing deadlines and ensure timely compliance.
Assist in responding to MCA/ROC queries, notices and clarifications.
Coordinate with consultants, auditors and other professionals wherever required.

3. Board & General Meetings

Assist in preparation of notices, agendas and supporting documents for:
Board Meetings
Committee Meetings
Annual General Meetings
Extraordinary General Meetings
Assist in drafting and maintaining Minutes of Board and General Meetings.
Ensure compliance with applicable Secretarial Standards (SS-1 & SS-2).
Maintain proper records of resolutions and corporate approvals.

4. Director & Shareholder Compliance

Maintain records relating to Directors and Key Managerial Personnel.
Assist with Director appointments, resignations, disclosures and related ROC filings.
Maintain records of shareholders and shareholding changes.
Assist in matters relating to allotment, transfer/transmission and issue of shares, wherever applicable.
Assist in maintaining declarations, disclosures and statutory documents.

5. Legal & Regulatory Support

Assist in monitoring changes in applicable corporate laws and regulations.
Conduct basic legal and regulatory research relating to corporate matters.
Assist senior management/Company Secretary in ensuring compliance with applicable laws.
Coordinate with external legal counsel, auditors, consultants and other professional advisors.

6. Documentation & Record Management

Maintain organised physical and digital records of corporate documents.
Ensure proper documentation of resolutions, agreements, filings and statutory records.
Maintain a compliance tracker for all Group companies.
Assist in preparing periodic compliance reports for management.

Candidate Profile

Educational Qualification:

CS Executive qualified / Semi-Qualified Company Secretary.
Candidate pursuing CS Professional will be preferred.
Graduate in Commerce, Law, Business Administration or related discipline will be preferred.

Experience:

1–3 years of relevant experience in Secretarial / Corporate Compliance / Legal & Compliance.
Candidates with strong practical exposure to ROC/MCA compliance may also be considered.
Experience of working with a Company Secretary / Listed or Unlisted Company / Corporate Group will be an advantage.

Required Knowledge

The candidate should have good working knowledge of:

Companies Act, 2013
MCA / ROC compliance
Secretarial Standards – SS-1 & SS-2
Board and General Meeting procedures
Statutory registers and records
Annual filings and event-based filings
Corporate governance
Basic legal and regulatory compliance
MS Office, particularly MS Excel and MS Word
MCA portal

Key Skills

Preferred Candidate

Candidates who have:

Completed CS Executive and are pursuing CS Professional.
Practical experience in MCA/ROC filings.
Hands-on experience in preparing Board/General Meeting documentation.
Exposure to handling compliance for multiple companies.
Experience in a diversified business group will be an added advantage.

Accuracy of statutory records and corporate documentation.
Compliance with applicable statutory deadlines.
Proper maintenance of Board and General Meeting records.
Timely updating of compliance trackers.
Effective coordination with internal teams and external professionals.
Timely identification and escalation of compliance issues.
