Counsel (Transactions & Commercial Operations) and JFF India Company Secretary

Description

Jeppesen ForeFlight is seeking a qualified and motivated attorney to support the Office of the General Counsel (OGC) and serve as the company secretary for Jeppesen ForeFlight’s Indian entity. This role combines legal support responsibilities for a broad portfolio of corporate transactions and commercial operations with corporate governance and company secretarial responsibilities. It is one of two newly created roles backfilling and maturing practice areas previously held by a departing attorney.

The attorney will work closely with senior counsel in the OGC on transactions and commercial operations, and the corporate paralegal on governance matters. As company secretary for Jeppesen ForeFlight’s Indian entity, the attorney also will play a vital part in ensuring compliance with Indian legal and regulatory requirements, facilitating board governance, advising on corporate governance matters, and supporting corporate decision-making processes. While the role has core areas of responsibility, we expect the scope to evolve as business needs change - attorneys in the OGC are expected to flex across the department's priorities and contribute wherever needed.

Key Responsibilities

Counsel (Transactions & Commercial Operations)

Serve as primary point of contact for vendor contracting matters, handling escalations from the Procurement team.
Oversee the corporate paralegal's execution of corporate governance work, including the board and committee calendar, minutes and resolutions, subsidiary governance, and the delegation-of-authority matrix.
Support mergers, acquisitions, and early-stage corporate development alongside senior counsel, including diligence, closing, and post-merger integration.
Handle collections and customer-bankruptcy matters, partnering with the corporate paralegal to move work off ad hoc processes and onto a playbook with automated matter sheets.
Manage the company's insurance program, including renewals and placement, in coordination with senior counsel; build an automated, repeatable renewal data-gathering process.
Support finance legal needs, including intercompany agreements and accounting and treasury support.
Support litigation and dispute management, including commercial disputes, eDiscovery, litigation holds, subpoenas, and regulatory investigations, working alongside senior counsel.
Handle real estate, facilities, and environmental matters.
Develop automation, templates, playbooks, and guidance materials that improve consistency and reduce ad hoc work across the portfolio.
Contribute to the build-out of the legal-operations function, including matter management and department metrics.
Take on additional legal matters and projects across the OGC as business needs evolve; core responsibilities are a starting point, not a ceiling.

JFF India Company Secretary

Prepare and distribute notices, agendas, and supporting materials for Board and shareholder meetings.
Organize, support, and conduct Board and shareholder meetings, including recording minutes and maintaining accurate records.
Assist with preparation and filing of statutory documents with regulatory authorities.
Monitor changes in company law, corporate governance requirements and practices, and regulatory obligations, and ensure ongoing compliance.
Provide guidance and support to directors and senior management on corporate governance matters.
Liaise with regulatory authorities, including the Registrar of Companies.
Coordinate with external advisors, legal counsel, and auditors on corporate governance and compliance matters.
Maintain governance records and assist with board/committee documentation and corporate approvals.

Basic Qualifications

Juris Doctor from an accredited law school or locally equivalent legal qualification.
Active bar membership and good standing in at least one jurisdiction.
Minimum of 7 years of relevant legal practice experience, ideally a mix of in-house and law firm experience.
Qualified Company Secretary with a membership of the Institute of Company Secretaries of India (ICSI).
Minimum of 2 year of experience as a company secretary.
Strong knowledge of India corporate law, regulations, governance principles.
Experience in commercial transactions, procurement, and corporate governance.
Strong understanding of contracts and general commercial legal principles.
Excellent written and verbal communication skills and interpersonal skills, with the ability to interact effectively with senior stakeholders and board members.
Demonstrated ability to provide practical, business-focused advice and to manage multiple priorities in a collaborative environment.

Preferred Qualifications

Experience in technology, software, aviation or another regulated industry.
Creditors’ rights and bankruptcy experience.
Experience with M&A, insurance program management, finance legal support, and real estate, facilities, and environmental matters.
Litigation or dispute-management experience, including managing outside counsel.
Experience building legal processes and automation from the ground up.
Experience working across jurisdictions and supporting cross-border legal matters.

Typical Education & Experience

Bachelor’s degree in law (LL.B.) or Juris Doctor (J.D.), or a locally equivalent legal qualification, along with qualification as a Company Secretary and membership in the Institute of Company Secretaries of India (ICSI).
