Job Description – Company Secretary & Manager – Corporate Governance

Job Type: Full-time

About ECS
Excel Consultancy Services Pvt. Ltd. (ECS) is a professionally managed engineering design, consulting, and service organization closely associated with Excel Innovators & Integrators (EI&I). While EI&I is the core engineering and manufacturing arm of the group, ECS extends these capabilities through engineering design support, technical coordination, documentation, and client-focused execution. ECS also undertakes independent design projects, delivering end-to-end engineering solutions from concept to detailed documentation for industrial and technology-driven clients.

Position Overview

We are looking for a qualified and proactive Company Secretary & Manager – Corporate Governance to strengthen corporate governance, compliance, documentation, and organizational systems within our growing engineering and manufacturing organization.This role goes beyond traditional secretarial compliance and will work closely with the Management and HODs to bring greater structure, accountability, process discipline, and governance across the organization.

Key Responsibilities

Develop and maintain company policies, SOPs, authority and approval matrices, governance documentation, and management decision records.
Coordinate management meetings, minutes, resolutions, action trackers, and follow-up on important organizational decisions.
Monitor and coordinate applicable statutory and regulatory compliances, including labour laws, Factory Act, Shops & Establishment, PF, ESIC, Professional Tax, GST coordination, licences, insurance renewals, and other applicable requirements.
Coordinate with external consultants, auditors, legal advisors, and relevant departments on compliance and governance matters.
Establish and maintain a structured document control system covering policies, SOPs, department manuals, organization charts, revisions, and approvals.
Ensure that the latest approved versions of policies, SOPs, and process documents are maintained and followed.
Coordinate cross-functional organizational improvement initiatives such as ISO improvements, ERP implementation, appraisal systems, department KPIs, CRM implementation, and internal control improvements.
Establish and monitor organizational risks, including compliance, operational, documentation, supplier/customer dependency, key-person dependency, factory, insurance, cybersecurity, and other business risks.
Support internal reviews, process audits, compliance reviews, and continuous improvement of organizational systems and processes.

Qualifications & Experience

Qualified Company Secretary (ACS), preferably a member of ICSI.
Strong knowledge of corporate, statutory, labour, and regulatory compliance.
Experience in corporate governance, compliance, documentation, or secretarial functions.
Strong process management, documentation, analytical, and coordination skills.
Excellent written and verbal communication skills.

Preferred: Experience in an engineering, manufacturing, industrial, or SME environment, with exposure to ISO systems, internal audits, policy/SOP development, risk management, internal controls, or cross-functional project coordination.
