Full job description

Position Overview

Life Care Foundation is seeking a qualified and responsible Company Secretary to lead the organizations corporate secretarial, governance and regulatory compliance functions. The role will ensure timely and accurate compliance under the Companies Act, 2013 and other laws applicable to a non-profit organization, including Section 8 company, trust or society-related requirements, as applicable.

The position will work closely with the Board, senior management, Finance, HR, auditors, legal advisers and regulatory authorities to maintain strong governance, transparency and compliance.

Key Responsibilities

1. Corporate and Secretarial Compliance

Ensure compliance with the Companies Act, 2013 and the applicable rules, circulars and secretarial standards.

Maintain statutory registers, minute books, records, declarations and other corporate documents.

Prepare notices, agendas, resolutions, attendance records and minutes for Board, committee and general meetings.

Coordinate Board Meetings, Annual General Meetings and Extraordinary General Meetings within prescribed timelines.

File annual returns, financial statements and event-based forms with the Registrar of Companies and Ministry of Corporate Affairs.

Monitor legal and regulatory changes and advise management on their impact on the organization.

Ensure that the organization operates in accordance with its Memorandum, Articles and approved governance policies.

2. NGO and Non-Profit Compliance

Manage compliance requirements applicable to the organizations legal structure and charitable activities.

Coordinate applications, filings, renewals and records relating to 12A, 80G, CSR-1, NGO Darpan and other registrations, as applicable.

Coordinate FCRA registration, prior permission, annual return and utilization compliance where foreign contributions are received or proposed.

Maintain a tracker for the validity and renewal of registrations, licenses, approvals, exemptions and certificates.

Ensure that grants, donations and charitable funds are received, documented and utilized in accordance with applicable law and approved objects.

Support preparation of utilization certificates, donor reports, grant documentation and regulatory submissions.

Review proposed activities and expenditure for alignment with the organizations charitable objects and applicable restrictions.

3. Board Governance and Advisory

Provide secretarial and governance support to the Board of Directors and its committees.

Advise the Board and senior management on governance requirements, fiduciary duties and good-practice controls.

Track implementation of Board decisions and maintain complete supporting documentation.

Maintain records of disclosures, declarations of interest, related-party matters and director/KMP changes.

Assist in drafting and reviewing governance policies, codes of conduct, delegations of authority and committee charters.

4. Regulatory, Audit and External Coordination

Liaise with the Registrar of Companies, Ministry of Corporate Affairs and other regulatory authorities.

Coordinate with Chartered Accountants, auditors, banks, legal advisers and specialized consultants.

Provide records and explanations required for statutory, internal, tax, donor and compliance audits.

Track notices, queries and correspondence from authorities and ensure accurate responses within deadlines.

Maintain an organization-wide compliance calendar covering filings, renewals, meetings, reports and action items.

5. Legal and Contractual Support

Review and coordinate agreements, memorandum of understanding, vendor contracts, consultancy agreements and grant documents.

Maintain an organized repository of contracts, licenses, registrations, approvals and legal records.

Assist management in drafting resolutions, declarations, policies and official correspondence.

Identify legal and compliance risks and recommend corrective and preventive measures.

Coordinate with external counsel in relation to notices, disputes, litigation or specialized legal advice.

6. Internal Compliance and Risk Management

Develop and maintain a practical compliance-management framework for the organization.

Conduct periodic compliance reviews across departments, programmes and operating locations.

Support implementation of conflict-of-interest, whistle-blower, anti-fraud and related governance policies.

Coordinate compliance relating to labour, taxation, data protection and healthcare operations with the responsible departments.

Provide compliance guidance and awareness sessions to employees and department heads.

Report significant compliance gaps, delays and risks to senior management and the Board, with clear action plans.

Educational Qualifications

Qualified Company Secretary and member of the Institute of Company Secretaries of India (ICSI).

Pay: ₹25,000.00 - ₹30,000.00 per month
