Job Description: Assistant Company Secretary / Secretarial ManagerCompany: Espire Hospitality Limited
Location: Corporate Office – Mohan Cooperative Industrial Estate, New Delhi
Employment Type: Full-time, On-site

Experience: Minimum 4+ years of post-qualification experience strictly in the same designation

Reporting To: Head – Company Secretary & Compliance Officer

Position Overview :

Espire Hospitality Limited is seeking a dedicated, detail-oriented Assistant Company Secretary / Secretarial Manager to join our secretarial and legal core team at our Corporate Office in New Delhi.In this role, you will work closely with and report directly to the Head of CS, assisting in executing robust corporate governance pipelines, SEBI listing requirements, and multi-property hospitality workflows for our prominent portfolio, including ZANA – Luxury Escapes, Country Inn Hotels & Resorts, and Six Senses Fort Barwara.

Key Responsibilities

1. Core Board & Committee Support

Meeting Assistance: Collaborate with the Head of CS to schedule, coordinate, and execute all Corporate Office board meetings, committee meetings, and general meetings (AGMs/EGMs).
Documentation & Drafting: Prepare high-quality agendas, detailed board notes, resolutions, and accurate meeting minutes for review by the Head of CS.
Action Taken Reports: Track the implementation of board decisions and maintain strict follow-ups with corporate departments.

2. SEBI & BSE Listing Compliances

Regulatory Trackers: Assist the Head of CS in keeping the listed entity fully compliant with SEBI (LODR), SEBI (PIT), and other applicable statutory listing regulations.
Portal Management: Handle day-to-day submissions, financial results postings, shareholding patterns, and material disclosures directly through the BSE listing center portal.

3. MCA Portals & Statutory Records

E-Filings: Manage the timely filing of regular statutory forms, annual returns, and XBRL financial statements with the Registrar of Companies (ROC) via the MCA21 portal.
Register Maintenance: Maintain absolute custody of statutory registers, books, and corporate seals at the New Delhi corporate office. [1, 2]

4. Hospitality Licensing & Legal Administration

Property Licensing Liaison: Under the guidance of the Head of CS, coordinate with on-ground hotel operational teams to monitor, track, and renew vital licenses (FSSAI, Excise, Fire Safety, and Pollution clearances) for pan-India properties.
Contract Review: Perform initial vetting and formatting of hotel management agreements (HMAs), commercial vendor contracts, and corporate office lease deeds.

Candidate Profile & Qualifications

Professional Certification: Mandatory Associate/Fellow Member of the Institute of Company Secretaries of India (ICSI).
Designation Seniority: Minimum 4+ years of experience working explicitly in the role of an independent/Assistant Company Secretary.
Corporate Background: Experience in a public listed entity environment is mandatory. Backgrounds within hospitality, real estate, or capital-intensive infrastructure fields are highly preferred.
Technical Skills: Fluent with modern digital corporate compliance tools, including the MCA21 V3 portal, BSE listing mechanisms, and MSTC portals.
Soft Skills: Crisp, articulate corporate communication style to interface effectively with senior management and internal departmental heads.

Pay: ₹1,000,000.00 - ₹1,200,000.00 per year
