About AGRIM FINCAP PRIVATE LIMITED

AGRIM FINCAP PRIVATE LIMITED is an NBFC focused on delivering financial solutions while maintaining strong standards of regulatory compliance, governance, risk management and customer protection.

We are looking for an experienced Legal & Compliance Manager who will be responsible for managing the Company's legal matters and ensuring compliance with applicable RBI/NBFC regulations, Companies Act, statutory requirements and internal policies.

Key Responsibilities1. NBFC Regulatory Compliance

Ensure compliance with applicable RBI regulations, Master Directions, circulars and guidelines applicable to the Company.
Monitor regulatory changes issued by RBI and other relevant authorities and ensure timely implementation.
Maintain a regulatory compliance calendar and ensure all applicable compliances are completed within prescribed timelines.
Coordinate preparation and submission of applicable regulatory returns and reports.
Identify regulatory gaps and recommend corrective actions to management.
Assist in maintaining appropriate compliance records and supporting documents.

2. Legal Advisory & Documentation

Provide legal advice to management and internal departments on day-to-day business matters.
Draft, review and negotiate agreements, contracts, undertakings, notices, declarations and other legal documents.
Review loan-related documentation, vendor agreements, service agreements, NDAs and other commercial contracts.
Identify legal risks in business processes and recommend appropriate mitigation measures.
Ensure legal documentation is accurate, enforceable and aligned with applicable laws and Company policies.

3. Corporate & Secretarial Compliance

Coordinate with the Company Secretary, external consultants and legal advisors for corporate and secretarial compliances.
Assist with Companies Act, MCA/ROC and statutory compliance requirements.
Support preparation of Board and Committee meeting agendas, notices, minutes and related documentation, wherever applicable.
Maintain statutory records, registers and compliance documentation.
Assist in ensuring timely completion of applicable statutory filings and corporate compliances.

4. Litigation & Dispute Management

Manage and monitor ongoing legal cases, notices, disputes and litigation involving the Company.
Coordinate with external advocates, law firms and legal consultants.
Review legal notices and prepare appropriate responses in consultation with management/counsel.
Maintain a litigation tracker and provide regular status updates to senior management.
Support the Collections & Recovery team on legal matters related to recovery, delinquency and disputed accounts.

5. Compliance Monitoring & Internal Controls

Develop, implement and periodically review legal and compliance SOPs, policies and checklists.
Conduct compliance reviews to identify gaps, exceptions and potential regulatory risks.
Coordinate with Internal Audit, Statutory Auditors and other external professionals wherever required.
Track compliance observations and ensure timely closure of corrective actions.
Promote a strong compliance culture across departments.

6. Policy & Regulatory Updates

Review existing policies and recommend changes based on regulatory and legal developments.
Assist in drafting and updating policies relating to lending, KYC/AML, customer protection, grievance redressal, recovery and other applicable areas.
Keep management informed about significant regulatory changes that may impact the Company's business.

7. Business & Management Support

Work closely with Operations, Credit, Collections, Finance, HR, IT and other departments.
Provide practical legal and compliance solutions without unnecessarily delaying business operations.
Prepare compliance MIS, legal MIS and management reports.
Support senior management in legal, regulatory and governance-related matters.

Required Qualification

LLB / LLM from a recognized university is mandatory.
CS / ACS / Company Secretary qualification will be an added advantage.
Candidates with relevant certifications in compliance, corporate law or financial-sector regulations will be preferred.

Required Experience

5–10 years of relevant experience in Legal & Compliance.
Prior experience in an NBFC, Bank, Fintech, Financial Services or Lending Company will be strongly preferred.
Candidates with strong NBFC regulatory and corporate legal experience will be given preference.

Required Skills

Strong understanding of RBI/NBFC regulatory framework.
Knowledge of Companies Act and corporate/secretarial compliances.
Strong legal drafting and contract-review skills.
Knowledge of litigation and dispute management.
Good understanding of lending, recovery and financial-services operations.
Strong analytical and risk-assessment skills.
Excellent written and verbal communication.
Strong coordination and stakeholder-management skills.
Ability to independently manage multiple legal and compliance matters.
Good working knowledge of MS Office, particularly Excel and Word.

Preferred Candidate Profile

The ideal candidate should have:

Hands-on experience in NBFC Legal & Compliance.
Experience dealing with RBI-related compliance matters.
Experience coordinating with external advocates, consultants, auditors and regulatory professionals.
Strong knowledge of legal documentation and contract management.
Ability to independently identify legal/compliance risks and propose practical solutions.
Strong attention to detail and ability to work under deadlines.

Timely completion of regulatory and statutory compliances.
Zero avoidable compliance defaults.
Timely closure of audit/compliance observations.
Effective management of legal notices and litigation matters.
Timely review and execution of contracts and legal documents.
Regular monitoring and implementation of regulatory changes.
Accuracy and completeness of compliance MIS and records.
