Job Description: Qualified Company Secretary

Company: The India Jute & Industries Limited

Position: Company Secretary (Qualified)

Department: Secretarial / Legal & Compliance

Reporting To: Managing Director / Board of Directors

Employment Type: Full-Time

Location: Kolkata, West Bengal (Registered Office: 4A, Shree Ganesh Business Centre, 216 Acharya J. C. Bose Road, Kolkata – 700017)

Salary: Rs. 30,000 – Rs. 40,000 per month (commensurate with experience)

About the Role

The India Jute & Industries Limited is looking for a qualified Company Secretary to manage the secretarial, statutory, and regulatory compliance functions of the company. As a listed textile manufacturer, the company requires disciplined adherence to the Companies Act, 2013, SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and other applicable corporate laws. The ideal candidate will be a member of the Institute of Company Secretaries of India (ICSI) with sound working knowledge of these frameworks and an eye for detail in statutory filings and Board/shareholder documentation.

Key Responsibilities

Ensure compliance with the provisions of the Companies Act, 2013, and rules made thereunder, including maintenance of statutory registers and records.
Ensure timely compliance with SEBI (LODR) Regulations, 2015, including periodic disclosures, corporate governance reports, and intimations to the BSE.
Convene, prepare notices/agenda for, and record minutes of Board Meetings, Committee Meetings, and General Meetings (AGM/EGM), in line with Secretarial Standards SS-1 and SS-2.
Draft and file statutory forms and returns with the Registrar of Companies (ROC), MCA, and BSE within prescribed timelines (e.g., MGT-7, AOC-4, DIR-12, LODR disclosures, etc.).
Coordinate with directors, auditors, the Compliance Officer, and other stakeholders on board and shareholder matters.
Maintain and update statutory registers, records, and the company's minutes books.
Liaise with regulatory bodies such as the ROC, MCA, SEBI, and BSE as required.
Manage related party transaction (RPT) compliance and disclosures, and coordinate with the Audit Committee where required.
Assist in preparation of the Annual Report, Directors' Report, Corporate Governance Report, and other statutory disclosures.
Handle share transfer, transmission, dematerialisation, and other shareholder/investor-related matters, including liaison with the Registrar and Share Transfer Agent, K Fin Technologies Limited.
Support secretarial audit and coordinate with the Practicing Company Secretary conducting the audit.
Advise the Board and senior management on corporate governance best practices and changes in applicable company and securities law.
Keep track of amendments to corporate laws and SEBI regulations, and ensure timely implementation.

Required Qualifications

Member of the Institute of Company Secretaries of India (ICSI) — mandatory.
Bachelor's degree in Commerce, Law, or a related field.
0–3 years of post-qualification experience; prior exposure to a listed company's secretarial function is an advantage.

Skills & Competencies

Sound knowledge of the Companies Act, 2013, SEBI (LODR) Regulations, and related securities laws.
Strong drafting skills for board resolutions, notices, minutes, and statutory/exchange filings.
Familiarity with the MCA21 portal, BSE Listing Centre, XBRL filing, and ROC e-forms.
Good working knowledge of MS Office (Word, Excel, PowerPoint).
Strong attention to detail and organizational skills, given the timeline-driven nature of listed-company compliance.
Good verbal and written communication skills.
High level of integrity and confidentiality in handling sensitive corporate and price-sensitive information.
